Contract and commercial

The practice of our firm covers various aspects of contract and commercial law. We act for Finnish and foreign companies across various industries, including manufacturing, trade, distribution, financial, service and IT on a range of domestic and international matters such as sales and export of goods and services, marketing and competition, co-operations arrangements, product development, liability and confidentiality matters.

Sale and purchase of goods and services

Whilst manufacturers and suppliers know how to handle their business at home this is not always the case in regard of the legal issues related thereto in foreign jurisdictions. Whenever it comes to a sale of industrial production lines, the supply and just-in-time delivery of components or the purchase of goods or services a wide range of legal aspects require consideration, such as protection of sales revenues and ownership, immaterial property rights, liability and financing. We accompany our clients, identify risks and ensure pragmatic and workable solutions.

When cross-borders transactions, foreign law or partners from abroad are involved, differences in the legal terminology or understanding of contractual terms and conditions as well as business habits and the use of a foreign language are likely to cause misunderstandings and unexpected consequences. We have a decade of own experience in international matters allowing us to take the relevant issues into consideration at the earliest stage.

Licensing agreements, transfer of technology, contract management

Whatever the size of a company and its business may be, commercial activities always come along with a wide range of different agreements, understandings, arrangements and objectives. Product development requires a strict protection of know how and immaterial property rights, co-operation arrangements require the protection against competition, the loss of clients and markets, and the supply of components or services needs to be ensured and financial risks and liabilities evaluated and thought through.
