Corporate and company matters, shareholders agreements, protection of minority rights

In order for a company to concentrate on its business and to use its resources the most profitable way the corporate structure and governance is required to be in harmony with the objectives of the business. Different businesses, countries and philosophies require individual solutions.

This applies especially where business is carried out abroad through a subsidiary, a branch office or a joint-venture. Unless feeling comfortable, resources will be used for organizational and administrational matters instead of those focusing on and supporting the business. We counsel on the establishment, management and administration of companies and branch offices, the protection of shareholders and business relevant interests as well as the planning of corporate structures, including outsourcing and divestment proceedings in Finland and abroad.

We have worked in foreign jurisdictions and with various company forms and corporate tools and instruments and we have been involved in major and multinational projects. This is why we also see beyond the standard procedures and approaches under the letter of national laws when it comes to resolving corporate and shareholders matters.

Mergers & acquisitions, joint-ventures, reorganization

Mergers and the acquisition of the total or a part of the shares of a company or the reorganization of it may be done in different ways. We have been involved in various deals and projects, carried out due diligent surveys and examinations of the relevant matters in a wide range of different areas of businesses, often in cooperation with law firms larger than our firm. We are prepared to put a team of experts together on short notice when it comes to larger projects of publicly listed corporations.

Foreign investments, privatization and new markets

We are recognized as one of the few experts in the privatization of state owned enterprises and businesses in the CIS. From the very beginning of the privatization in Estonia in 1992 we have been assigned legal advisor to the Estonian Privatization Agency for years, and participated in the reconstruction, reorganization and the tendering and sale of hundreds of different businesses, including but not limited to drafting of the relevant legislation. We have been asked to join, and also joined publicly funded projects in Latvia , Russia , Poland and the Balkan as legal experts, most recently with the UNMIK European Pilar in Kosovo. We have accompanied foreign investments in Finland , Germany , the Baltic States and Poland , and we believe that we provide for a niche expertise when it comes to foreign investments and activities in the East and South-East.
