Depending on the size, the resources and the philosophy of a company, distribution is organized either by means of an own sales organization through subsidiaries or branch offices or outsourced to independent agents or resellers or, carried out through franchising.
When it comes to the distribution of goods or services, it is unlikely that the way sales and distribution are handled in the home market may be copied for foreign markets. Adjustments are required, trustworthy partners to be found and a wide range of legal aspects needs careful consideration, including but not limited to safeguarding sales revenues and client relations, competition, employment and cooperation agreements, and especially in foreign markets and jurisdictions, well-functioning supervision is of essential importance. Own sales organization
We offer to provide advice on the establishment of an own sales organization and the appropriate way of implementing our clients plans in Finland or in Germany, taking into consideration the particular needs, requirements and ideas of the individual client and its business.
In Finland we offer foreign subsidiaries and branch offices full administrational services ranging from registration with trade and tax registers, preparing the documentation for permissions required in certain financial sectors and in other areas to legally operate the business. We also arrange for accounting, auditing and management consulting as it may be required by the client.
Agency and resale agreements
We offer over a decade of experience in different agency and resale structures and agreements. As both parties are dependent on each other, a successful cooperation requires a well balanced contract protecting both the interest of the manufacturer and supplier in gaining access to the market and the functioning of agency and resale arrangements. Whilst the manufacturer has access to the market often only through its agent or sales organization, the local partner is dependent on proper deliveries and competition issues. We have been advising on all of these matters, including exclusiveness and competition arrangements and the requirements imposed by national and EU-legislation.
Our clientele consists of Finnish and foreign manufactures and suppliers, agencies and distribution companies from multinational concerns to small and middle-sized entrepreneurs.
Franchising und leasing
Distribution by means of franchising gains more and more importance also in Finland . Franchising and the implementation of a working franchising business involves a wide range of special legal issues in order to establish the business and corporate structure and to provide protection of immaterial property rights and against competition and ensure financing and sales revenues.
Leasing and sale-and-lease-back arrangements offer a possibility to increase sales by offering an alternative way to finance purchases and investments.
The law does not provide for any explicit provisions and regulations, leaving franchising and leasing agreements to be based on contractual arrangements. We at VSK know the contractual tools and legal possibilities available to franchise and leasing constellations.
